1. Acceptance of terms
These Terms and Conditions (the “Terms”) form a binding agreement between you and Shaperie, Inc. (“Shaperie”, “we”, “us”, or “our”). They govern your access to and use of the Shaperie website at shaperie.com, our contributor platform, and any related tools, applications, or services we offer (together, the “Services”).
By creating an account, submitting an application, accessing tasks, or otherwise using the Services, you confirm that you have read, understood, and agreed to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
2. Definitions
- “Contributor” means an individual approved by Shaperie to perform Tasks through the platform.
- “Task” means any project, assignment, evaluation, label, rating, written response, or other unit of work offered through the Services.
- “Output” means any data, text, file, judgment, or other deliverable produced by you in connection with a Task.
- “Client” means the third party (typically an AI team or research organization) for whom Shaperie is producing Output.
- “Approved Work” means Output that has been reviewed and accepted by Shaperie or the relevant Client in accordance with its quality criteria.
3. Eligibility
To use the Services you must:
- Be at least 18 years old (or the legal age of majority in your jurisdiction);
- Have the legal capacity to enter into a binding contract;
- Not be barred from working under any applicable law or sanctions regime;
- Provide accurate, current, and complete information when applying.
Shaperie may reject any application or restrict access to the Services at its sole discretion.
4. Account registration
You are responsible for safeguarding your account credentials and for any activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.
You may not share your account with another person, create more than one account without our written permission, or impersonate anyone else.
5. Independent contractor relationship
You acknowledge and agree that you are an independent contractor, not an employee, agent, partner, or joint venturer of Shaperie or any Client. Nothing in these Terms creates an employment relationship.
As an independent contractor, you:
- Choose which Tasks to accept, when to perform them, and from where, subject to any reasonable project requirements;
- Are responsible for your own equipment, internet connection, taxes, and benefits;
- Will not receive employee benefits such as paid leave, insurance, or pension contributions from Shaperie;
- Have no authority to bind Shaperie or any Client to any obligation.
6. Tasks, quality & acceptance
Shaperie offers Tasks through the platform with instructions, estimated time, and applicable rates. By accepting a Task you agree to perform it in accordance with the instructions and our quality standards.
Output is subject to review. Shaperie or the Client may approve, reject, or request changes to Output. Output that fails quality review or that is later found to be fraudulent, plagiarized, automated, or otherwise non-compliant may be rejected and not paid.
Repeated low quality may result in reduced project access, lower rates, or suspension as described in Section 12.
7. Compensation & payments
- Rates are displayed in the platform before you accept a Task. Rates may vary by project, language, complexity, and your qualification level.
- Approved Work is typically paid on a weekly basis to the bank account or e-wallet on file. Payment timing may vary based on processor delays, banking holidays, or compliance checks.
- Minimum payout thresholds and supported payout methods are described in your account dashboard and may change over time.
- Bonuses for quality or volume may be offered at Shaperie's discretion and do not create an entitlement to ongoing bonuses.
- Errors in payment should be reported within 30 days. After that period, payments are deemed final.
8. Taxes
You are solely responsible for reporting and paying any taxes, social contributions, fees, or duties owed on amounts you receive from Shaperie under the laws of your country of residence. Shaperie does not withhold or remit taxes on your behalf unless required to do so by applicable law.
You agree to provide any tax identification numbers, residency certificates, or other documents reasonably requested for tax and compliance purposes.
9. Confidentiality
Through the Services you may have access to non-public information about Shaperie, our Clients, prompts, evaluation rubrics, model outputs, internal tooling, and other materials (“Confidential Information”). You agree to:
- Use Confidential Information only to perform Tasks;
- Not disclose Confidential Information to any third party;
- Not copy, store, or share Confidential Information outside the platform without our written consent;
- Not publicly discuss specific prompts, model behavior, or Client identities you encounter while contributing.
These confidentiality obligations survive termination of these Terms.
10. Intellectual property
The Services, including all software, design, text, graphics, and trademarks, are owned by Shaperie or its licensors and are protected by intellectual-property laws. Nothing in these Terms grants you any right in the Services beyond the limited license to use them as intended.
Assignment of Output. To the maximum extent permitted by law, you irrevocably assign to Shaperie all right, title, and interest (including all intellectual-property rights) in any Output you produce in connection with a Task, effective as of the moment Output is created. Where assignment is not legally possible, you grant Shaperie a perpetual, worldwide, royalty-free, sublicensable, transferable license to use, modify, distribute, and exploit the Output for any purpose.
You represent and warrant that all Output is your original work, does not infringe any third-party rights, and was not produced by automated or AI tools unless explicitly permitted by the Task instructions.
11. Acceptable use
You agree not to:
- Submit Output that is plagiarized, fabricated, AI-generated (unless allowed), or otherwise misrepresented as your own;
- Interfere with, disrupt, or attempt to gain unauthorized access to the Services;
- Reverse engineer, decompile, or scrape the Services beyond what is allowed by applicable law;
- Use the Services for any unlawful, fraudulent, or harmful purpose;
- Harass, defame, or threaten any Shaperie staff, Client, or other Contributor;
- Upload content that is illegal, defamatory, sexually explicit involving minors, or that promotes violence or hatred.
Violations may result in immediate suspension or termination.
12. Suspension & termination
We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe that you have violated these Terms, applicable law, or quality standards, or for other legitimate operational reasons.
You may stop using the Services and request account deletion at any time by emailing [email protected]. Termination does not affect any rights, obligations, or amounts owed that accrued before termination.
13. Disclaimers
The Services are provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or continuous availability.
Shaperie does not guarantee any specific volume of Tasks, earnings, project access, or qualification outcomes. Past performance is not a guarantee of future opportunities.
14. Limitation of liability
To the maximum extent permitted by law, Shaperie, its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, data, goodwill, or business opportunity, arising out of or in connection with your use of the Services.
Our aggregate liability for any claim arising out of or related to these Terms shall not exceed the greater of: (a) the total amount Shaperie paid to you in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) six thousand Philippine pesos (₱6,000).
15. Indemnification
You agree to indemnify, defend, and hold harmless Shaperie, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your breach of these Terms or applicable law;
- Your Output (including any third-party intellectual-property or privacy claims);
- Your negligent or wrongful conduct in performing Tasks;
- Your misclassification claim if you assert any employment relationship contrary to Section 5.
16. Governing law & disputes
These Terms are governed by the laws of the Republic of the Philippines, without regard to its conflict-of-laws principles. The courts located in Makati City, Metro Manila, shall have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Services, except where mandatory consumer-protection laws in your country of residence provide otherwise.

17. Changes to these terms
We may revise these Terms from time to time. When changes are material, we will update the “Last updated” date above and, where appropriate, notify you by email or through the Services. Your continued use of the Services after the changes take effect means you accept the updated Terms.
18. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy and any project-specific addenda, constitute the entire agreement between you and Shaperie.
- Severability. If any provision is held unenforceable, the remaining provisions will continue in full force and effect.
- No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
- Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms to a successor in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, war, pandemic, or large-scale internet outages.
